1.1 CapitaLand Investment Limited (CLI or the Company) is committed to keeping both individual and institutional shareholders of the Company (collectively, “Shareholders”), as well as the investor community, well informed of all major developments affecting the state of affairs of the Company.
1.2 The aim of this Policy is to ensure that Shareholders and the investment community are provided with timely and equal access to accurate, balanced and clear information about CLI (including its strategy, business, financial performance, governance and/or material developments) to enable Shareholders to exercise their rights in an informed manner and to allow Shareholders and the investment community to engage actively with the Company.
1.3 In this Policy, references to the investment community include CLI’s both existing and potential shareholders, fund managers, institutions and analysts (sell-side and buy-side) reporting and analysing CLI’s performance.
2.1 At all times, the Company is committed to making timely, full and accurate disclosure in accordance with the Listing Manual of the Singapore Exchange Securities Trading Limited (“SGX-ST”) and the Singapore Code of Corporate Governance 2018 issued by the Monetary Authority of Singapore. This includes distributing other corporate materials 1 to Shareholders and the investment community.
2.2 All disclosures submitted to the SGX-ST through SGXNET are also available on the Company's corporate website.
2.3 This Policy is subject to regular review by the Company to ensure its effectiveness. Updates and amendments (as appropriate) will be made to reflect current best practices in our communication with Shareholders and the investment community.

3.1 The Company is committed to treating all Shareholders fairly and equitably.
3.2 Shareholders are entitled to participate in and vote at general meetings of the Company. Shareholders are also informed of the rules, including voting procedures, that govern general meetings of the Company.
4.1 The Company strives to provide accurate, balanced and clear information to its Shareholders and the investment community in an effective and timely manner.
4.2 The Company uses clear and plain language in its communication with its Shareholders and the investment community.
4.3 The Company endeavours to provide a consistent level of disclosure on both positive and negative developments of the Company.
4.4 The Company communicates only through its designated spokespersons.
4.5 The Company, through its designated spokespersons, will establish and maintain regular dialogue with Shareholders to solicit and understand the views of the Shareholders and the investment community through general meetings, analysts and media briefings, investor roadshows and/or investor briefings.
4.6 The Company does not respond to rumours or market speculation. However, where there are indications that material and/or price-sensitive information has been leaked, or where rumours or market speculation are false or inaccurate, the Company will promptly deny or clarify such information via announcements made on SGXNET to SGX-ST to prevent unnecessary speculation in CLI’s securities.
4.7 The Company will give reasonable access to analysts and the media to help them formulate informed opinions of the Company but will not seek to influence those opinions.
4.8 The Company observes a prescribed ‘blackout period’ of one (1) month prior to the announcement of its half- and full-year results. During this period, the Company does not comment on the Group’s business performance and financial results, unless such information has already been publicly disclosed.
5.1 The Company actively engages with its Shareholders and the investment community via:
(i) Annual General Meeting ("AGM") and, as and when necessary, Extraordinary General Meeting ("EGM");
(ii) analysts and media briefings for half- and full-year financial results, with live webcasts and transcripts of the briefings made available on the Company’s corporate website;
(iii) one-on-one/group meetings or conference calls, investor luncheons, local or overseas roadshows and conferences;
(iv) property visits;
(v) annual reports;
(vi) announcements made on SGXNET to SGX-ST, news releases and media statements; and
5.2 The Company meets with investors, analysts and the media at appropriate times, as well as participates in investor roadshows, and sector conferences throughout the year.
5.3 Upon the release of half- and full-year financial results, the Company holds analysts and media briefings. Live webcasts of the briefings are recorded and uploaded on the corporate website within a reasonable time after the briefing.
Shareholders’ Meetings
5.4 The Company's AGM is the principal communication channel with Shareholders.
5.5 Shareholders will be notified of the AGM via electronic means within the required notice period prior to the AGM. Shareholders may also download a copy of CLI’s annual report from its website at www.capitalandinvest.com (printed copies of the Annual Report are available upon request) prior to the AGM.
5.6 As and when an EGM of Shareholders is to be held, Shareholders will be notified of the EGM via electronic means. The notice of meeting and a circular which contains details of the matters to be proposed for Shareholders' consideration and approval will be made available on CLI's website.
5.7 Notices of the general meetings setting out all items of business to be transacted are also announced via SGXNET to SGX-ST.
5.8 Shareholders are encouraged to submit questions before the meetings and responses to the significant questions will be uploaded on SGXNET and CLI’s website prior to the Shareholders’ meetings.
5.9 Members of the Board, the Company’s senior management and the external auditors of the Company are in attendance at all general meetings to address Shareholders’ queries. Shareholders are given the opportunity to communicate their views on various matters affecting the Company.
5.10 Shareholders who are unable to attend and vote at the general meetings may appoint up to two proxies to attend and vote in his/her stead. In the case of corporations which provide nominee or custodial services, they may appoint more than two (2) proxies so that Shareholders who hold shares through such corporations can attend and participate in general meetings as proxies, in accordance with the prevailing laws.
5.11 The Company supports voting by electronic poll at all general meetings and the poll results are announced via SGXNET to SGX-ST on the same day of each Shareholders’ meeting.
5.12 The Company will prepare minutes of the general meetings and make these minutes available to Shareholders on SGXNET and CLI’s website.

The Company's business developments and operations, financial reports, announcements, news releases and other information are posted on its corporate website.
