MARKETPLACE FUNCTIONALITY

1.         In addition to the General Terms and Conditions, the following provisions apply in respect of your use of the Marketplace Functionality ("Marketplace Functionality"), in the App.

2.         In addition to the relevant restrictions contained in Clause 1.5 of the General Terms and Conditions, you shall, whether as buyer or seller, not do any of the acts referenced in clauses 2(a) to (e), (g) to (m), and 3(a) and (b) of the Community Functionality.

3.         Listings on CapitaStar@Work

Seller

3.1 When using the Marketplace Functionality to submit a post to sell an item, offer an item for sale, post a job opening and/or offer a service ("Listings"), seller undertakes, represents and warrants that:

(a) seller has good title to each of the items being sold, or being offered for sale;

(b) seller has the right to provide the Listings on or through the Marketplace Functionality;

(c) the provision of the Listings on or through the Marketplace Functionality shall, at all times, comply with all applicable laws, regulations and industry codes, including without limitation, all revenue, customs, excise and import and export control laws, the Personal Data Protection Act 2012, Sale of Goods Act (Cap 393), Consumer Protection (Fair Trading) Act (Cap 52A), and Singapore Code of Advertising Practice;

(d) none of the Listings will infringe any intellectual property rights or other rights of any third party;

(e) the Listings shall strictly conform to any and all product warranties, including such warranties, specifications, drawings, samples, performance criteria and other descriptions as may be stated by the seller on the Listing made on or through the Marketplace Functionality for the relevant item, as well as the applicable quality, safety and hygiene requirements;

(f) the items shall be merchantable and of satisfactory quality;

(g) the description of Listings are fair and accurate of the item, job openings and/or service in question;

(h) ensure that all descriptions of Listings are clear and objective, and does not reference age, race, language, gender, marital status and religious, and comply with all applicable laws, regulations, guidelines, policies, issued by the Ministry of Manpower of Singapore, including the Tripartite Guidelines on Fair Employment Practices and the Tripartite Guidelines on Non-Discriminatory Job Advertisements (as may be amended or updated). If you need to set out specific characteristics in your Listing, you shall ensure that such characteristics are reasonable and shall provide the reason in your Listing;

(i) complete the transaction with the buyer and/or the applicant in a prompt manner unless the buyer fails to meet the terms of your Listing or you cannot authenticate the buyer's identity;

3.2     You shall not directly or indirectly engage in any of the following conduct:

(a) include in your Listings any links that would lead to your personal or corporate website, and/or any links to third-party websites;

(b) provide any Listing that is:

(i) counterfeit and/or otherwise infringes upon the intellectual property rights of any third parties;

(ii) prohibited for sale under all laws and regulations that apply to that Listing;

(iii) dangerous, hazardous, and /or otherwise subject to a recall by a government or manufacturer; or

(iv) subject to export controls;

(c) alter the Listing's price after a sale, or otherwise misrepresent an item;

3.3         From time to time we may but shall not be obliged to provide additional features and Services through the Marketplace Functionality.. You shall be bound by any specific terms as may be issued to you depending on the relevant features and/or Services that you have selected. Your application for any of such features and Services is subject to our acceptance, and we will not guarantee that these features and/or Services will be available to you by any specified time.

3.4         In communicating with a buyer through the Marketplace Functionality, you may obtain the personal data of that buyer. You shall only use such information solely for the purpose of the transaction.

3.5         We are not involved in any transactions between buyers and sellers, and we cannot ensure that a seller would follow through and complete a transaction with the seller.

Buyer and applicants

3.6         When using the Marketplace Functionality to purchase an item, respond to an offer an item for sale, post a job opening and/or offer a service, you shall make prompt payment (where applicable) to the seller for the item, unless you cannot authenticate the seller's identity.

3.7         We make no representations to you or other buyers as to the quality or nature or suitability of the accuracy of the Listings. Our information on these is obtained from the sellers and as between you and us, the Listings are "as offered" by the sellers. Descriptions or statements about the Listings advertised via the Marketplace Functionality are provided by the relevant sellers and we do not verify these descriptions or statements and we disclaim all warranties and representations in relation to any such sellers and their products and/or Services. We do not endorse any Listings featured on the App.

3.8         We are not involved in any transactions between buyers and sellers, and we cannot ensure that a seller would follow through and complete a transaction with the buyer.

4.         Governing Law
Your access and use of any Marketplace Functionality shall be governed by Singapore law and you agree that the Singapore courts shall have exclusive jurisdiction over all disputes relating thereto.
